Terms of Service
1. The agreement
These Terms are an agreement between Karina 2710 EOOD, 2A Lilyana Dimitrova St., 7400 Isperih, Bulgaria (“Roaswise”, “we”, “us”), and the business that uses Roaswise (“Customer”, “you”). By creating an account or using the service you accept them. If you accept on behalf of a company, you confirm that you are authorised to bind it.
Roaswise is for business use only. You must be at least 18 and use it for your trade, business or profession, not as a consumer.
The Privacy Policy and the Data Processing Agreement form part of these Terms. An order form or other written agreement signed by both parties takes precedence over these Terms where they conflict.
2. The service
Roaswise connects to your Meta ad accounts, reads their performance, and uses AI to propose changes and create ads. Depending on the Autonomy Level and Guardrails you set, it applies changes after your approval or on its own. We may improve, change or remove features over time; we will not materially reduce the core service during a paid term without telling you in advance.
3. Accounts and members
Keep your sign-in details secret and tell us at once about any unauthorised use. You are responsible for everything done under your accounts, including by the members you invite and the roles you give them.
An agency that manages brands for its clients confirms that it is authorised by each client to connect and manage that client’s ad accounts.
4. Your ads and the Agent's actions
You stay in control of, and responsible for, your advertising. In particular:
- You set the limits. Guardrails, Autonomy Levels and the Kill Switch decide what the Agent may do. We enforce them as configured, but you choose them, and changes the Agent makes within them are made on your behalf.
- You are responsible for ad spend. Budgets and spend are charged by Meta to your ad account. We do not guarantee any performance, return on ad spend, or result.
- You are responsible for what you publish. Your ads must comply with Meta’s Terms and Advertising Standards and with applicable law, including consumer protection, advertising and intellectual property law.
- Watch your account. Review the approval queue, alerts and audit log regularly. Changes the Agent makes can be reverted.
5. AI-generated content
The service uses AI to write Proposals, ad copy, images and video (“Output”). AI can be wrong, incomplete, or similar to material created for others. Review Output before you rely on it or publish it, and do not treat it as professional advice.
As between you and us, you own the Output created for you, to the extent the law allows. We do not warrant that Output is free of third-party rights, and you are responsible for checking it before commercial use.
6. Your data
You keep all rights in the data and content you or your ad accounts bring into Roaswise (“Customer Data”). You give us permission to host, copy, process and transmit it only to provide, secure and support the service for you, and as the Data Processing Agreement allows. We do not use Customer Data to train AI models.
You confirm that you have the rights and legal bases needed to bring Customer Data into Roaswise and to have us process it.
7. Acceptable use
You must not:
- break the law, or advertise anything illegal, deceptive or prohibited by Meta’s policies;
- generate content that infringes others’ rights, impersonates a real person without consent, or is hateful, sexual or violent;
- connect ad accounts you are not authorised to manage;
- probe, overload or break the service’s security, or access other customers’ data;
- copy, resell or reverse-engineer the service, or use it to build a competing product;
- get around plan limits, Guardrails or access controls.
8. Third-party services
Roaswise depends on services we do not control, including Meta’s platform and APIs. Your use of them is also governed by their own terms. If a third party changes, limits or withdraws its service, features that rely on it may change or stop, and we are not responsible for that.
9. Plans and payment
- Renewal. Subscriptions are billed in advance, monthly or yearly, and renew automatically until cancelled. You can cancel at any time from Billing; the cancellation takes effect at the end of the current period.
- Limits. Each Plan has limits, such as ad spend managed, Ad Accounts, Agents, seats and creative credits. Creative packs are one-off purchases.
- Payment. Payments are processed by Stripe. Prices exclude VAT and other taxes, which are added where applicable.
- Refunds. All fees are non-refundable, including for partial periods and unused credits, except where mandatory law requires otherwise.
- Price changes. We will give you at least 30 days’ notice of a price change, which applies from your next renewal.
- Late payment. If a payment fails and is not fixed after we notify you, we may pause the Agent and creative generation until it is.
10. Our intellectual property
We own Roaswise, its software and its brand. These Terms give you a limited, non-exclusive, non-transferable right to use the service while your subscription is active. If you send us feedback, we may use it freely without obligation to you.
11. Confidentiality
Each party will keep the other’s non-public information confidential, use it only for this agreement, and protect it with at least reasonable care. This does not apply to information that is public, already known to the recipient, or that must be disclosed by law.
12. Suspension and termination
You can stop using Roaswise and delete your brands or account at any time. We may suspend or end your access if you seriously or repeatedly breach these Terms, fail to pay, or put the service, other customers or Meta’s platform at risk. Where practical we will warn you first.
Before a brand is deleted, its Owner can export its data. A deleted brand can be restored for 30 days and is then permanently erased. Sections that by their nature should survive termination, including payment, confidentiality, disclaimers and liability, do so.
13. Disclaimers
The service is provided “as is” and “as available”. To the extent the law allows, we disclaim all warranties not stated in these Terms, including merchantability, fitness for a particular purpose, and that the service will be uninterrupted or error-free, or that it will improve your advertising results.
14. Limitation of liability
To the extent the law allows:
- neither party is liable for indirect or consequential loss, or for loss of profit, revenue, business, goodwill or data, or for ad spend;
- each party’s total liability under these Terms is limited to the fees you paid us in the 12 months before the event giving rise to the claim.
These limits do not apply to liability for death or personal injury caused by negligence, fraud, wilful misconduct or gross negligence, your payment obligations, or anything else that cannot be limited by law.
15. Indemnity
You will defend and compensate us against third-party claims arising from your ads, your Customer Data, or your breach of these Terms or of Meta’s policies.
16. Governing law and disputes
These Terms are governed by the laws of the Republic of Bulgaria, excluding its conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods. Disputes are heard exclusively by the competent courts of the Republic of Bulgaria.
17. Changes to these Terms
We may update these Terms. We will tell you about material changes by email or in the app at least 30 days before they take effect. If you do not agree, you can cancel before then; continuing to use the service afterwards means you accept the new Terms.
18. General
You may not transfer these Terms without our consent; we may transfer them to a successor of our business. If a provision is invalid, the rest remains in force. Not enforcing a right is not a waiver of it. Neither party is liable for delays caused by events beyond its reasonable control.
